Western Midstream Bolsters Permian Pipeline Network With $1.6 Billion Brazos Acquisition

Western Midstream Partners announced it has entered into a definitive agreement to acquire Brazos Delaware II, a move aimed at significantly boosting its gathering and processing infrastructure in the heart of the Permian Basin.

The transaction, valued at approximately $1.6 billion, consists of $800 million in cash and roughly $800 million in Western Midstream common units. The deal is expected to close during the second quarter of 2026, pending customary closing conditions and regulatory approvals.

The acquisition centers on the extensive midstream network operated by Brazos, which stands as one of the largest private gathering and processing platforms in the Texas Delaware Basin. 

By absorbing these assets, Western Midstream effectively scales its ability to move and treat raw energy resources in one of the world's most productive oil and gas regions.

The primary driver of the deal is the massive physical footprint and portfolio Brazos has established, including a pipeline network and processing capacity. 

The pipeline network includes approximately 900 miles of high-pressure gathering pipelines designed to transport crude oil and natural gas from wellheads to centralized facilities.

Brazosportfolio also includes the Comanche processing complex, which boasts a nameplate natural-gas processing capacity of 460 million cubic feet per day.

Industry analysts view the move as a strategic consolidation within the Delaware Basin. By integrating the 900-mile pipeline system into its existing network, Western Midstream can offer producers more comprehensive "wellhead-to-market" solutions.

The addition of the Comanche complex provides Western Midstream with immediate scale in natural gas liquids recovery, a critical component as Permian production continues to hit record highs. 

The combination of the cash and equity payment structure allows the company to maintain a balanced capital structure while securing long-term growth in a core acreage position.

Brazosacquisition marks Western Midstream's latest effort to solidify its dominance in the midstream sector, ensuring it has the capacity to handle the rising volumes of associated gas flowing from Delaware Basin oil wells through its expanded pipeline grid.
