USA, Virginia / Illinois: Leidos has signed a definitive agreement to acquire ENTRUST Solutions Group for approximately $2.4 B. This transaction aims to expand the company’s presence as an engineering solutions provider for utilities throughout the United States. By bringing ENTRUST into the fold, Leidos will effectively double its current $600 M energy infrastructure business, which has consistently delivered double-digit growth and margins over the last eight years.
While Leidos has traditionally focused on transmission and distribution engineering for electric utilities, ENTRUST brings a broader expertise that spans the entire power delivery spectrum, from generation through to the end user, covering both gas and electric sectors. This expanded reach is vital as US utilities prepare to invest an estimated $1 T over the next decade to modernise ageing systems and improve resilience against extreme weather.

From a financial perspective, the all-cash transaction is expected to be immediately beneficial to Leidos’ revenue growth and EBITDA margins. The company plans to fund the deal through a mix of cash on hand, debt, and commercial paper. Subject to the usual regulatory approvals, the acquisition is expected to close by the end of the second quarter of 2026.
